General Terms and Conditions of Sale

1. General provisions

These General Terms and Conditions of Sale (GTCS) define, without prejudice to the application of any special conditions, the respective rights and obligations of the contracting parties in connection with the audiovisual services provided by Studiosept Agency SRL, hereinafter referred to as “the Provider”, to any client, hereinafter referred to as “the Client”.

By signing a quote, an agreement or a purchase order, or by accepting a written confirmation, the Client acknowledges having read these general terms and conditions and having accepted them without reservation.
No service will be undertaken without prior signature of the corresponding quote or contract.

Our general terms and conditions of sale are available at any time on our website www.studiosept.be and can be sent to the Client on simple request.

These terms and conditions apply exclusively within Belgian territory.
If the productions are intended for international use, specific special conditions will be drawn up.

In the event of any conflict between the Client’s general terms and conditions and those of the Provider, these general terms and conditions of Studiosept Agency SRL shall prevail.

2. Prices and services

Prices stated in quotes are expressed in euros, excluding VAT, and are those in force on the date the quote is sent.
Quotes and timelines are valid for one (1) month from their date of issue.

Services include only the items explicitly mentioned in the quote or purchase order.
Any additional service will be subject to a supplementary quote.

Any change requested after delivery of a version or render will be invoiced separately, on the basis of a flat rate of half a day or a full day, depending on the scope of the work.

The Client undertakes to provide the Provider, no later than 10 days before the shooting date, with all the information needed for the proper execution of the project (locations, schedules, contacts, shooting plan, editorial line, etc.).

3. Payment terms and conditions

Unless otherwise stipulated, the payment terms are as follows:

  • 30 % of the total amount upon signature of the quote or contract,
  • 70 % upon delivery of the final version.

Invoices are payable within seven (7) calendar days of their date of issue.

Payment is made by bank transfer to the following account:

  • interest at an annual rate of 12%,
  • a fixed compensation of 10 % of the unpaid amount (excluding VAT),
  • as well as administrative costs for reminders or formal notices.

In the event of non-payment eight (8) days after a formal notice, the Provider reserves the right to suspend performance of the contract or to terminate it automatically, without prejudice to payment of the sums due for services already performed.

Any dispute concerning an invoice must be sent in writing within fifteen (15) calendar days of the invoice date.

4. Copyright and intellectual property

4.1. Ownership of works

The rights to use the production are transferred to the Client only after full payment of all invoices relating to the project.
Studiosept Agency SRL remains the exclusive holder of the copyright in the audiovisual, visual and sound creations produced.

The Client acknowledges that it bears full responsibility for the editorial, visual and textual choices included in the production.

4.2. Right of reproduction and distribution

Any duplication, reproduction, distribution or total or partial transfer of the productions outside the scope agreed in the contract is prohibited without the Provider’s prior written consent.

4.3. Provider’s right to promote

Unless the Client objects in writing, Studiosept Agency SRL reserves the right to use the productions (or extracts from them) for communication and promotional purposes: website, social media, showreel, festivals, tenders, etc.
Such use may under no circumstances harm the Client’s image.

5. Changes and approvals

The Client has ten (10) working days from receipt of the beta version to submit comments and correction requests.
After this period, the product is deemed to comply with the initial order.
Changes exceeding three (4) hours of work will be invoiced additionally.

6. Delivery of files

Videos are delivered in .mov format (H264 codec), the standard for web distribution.
Other formats (e.g. ProRes) can be provided on request, for an additional fee.
Deliveries are made digitally (WeTransfer or a platform such as Vimeo.com).
The download link remains active for 10 days from the delivery notification.
Any request for resending or delivery on a physical medium (hard drive, USB stick, etc.) will be invoiced additionally.

7. Image rights and confidentiality

The Client undertakes to inform every person filmed or photographed that they appear in a professional context without financial compensation.
For minors, written parental consent is mandatory.
The Provider accepts no liability in the event of a dispute relating to image rights.

Information, documents and data exchanged between the Provider and the Client are strictly confidential and may not be disclosed to third parties without prior consent.

8. Storage and use of rushes

Rushes (raw footage) and photos are kept for 1095 days (3 years) after delivery of the project.
After this period, the Provider no longer guarantees their availability.
The Client may request a quote to purchase the rushes or for extended archiving.

Studiosept Agency SRL reserves the right to reuse, in other productions or internal image libraries, sequences shot as part of the project in which no brands, places or people can be identified.

9. Provider’s liability

The Provider is bound by an obligation of means and not of result.
Its liability can only be engaged in the event of proven and direct fault, and is limited to the total amount of the contract concerned.

10. Aerial services (drone)

For shoots involving a drone, the licensed remote pilot alone is authorised to decide whether the flight goes ahead or is postponed, depending on weather or safety conditions.
In the event of postponement, a new date will be set by mutual agreement between the parties.

11. Early termination

In the event of unilateral termination of the contract by the Client, the Client shall owe the Provider compensation equal to 30% of the total amount of the quote, in addition to the costs incurred.
This compensation is a minimum amount due, without prejudice to further damages if necessary.
